Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Bitparse API and related services (“Service”) operated by Bitparse LLC (“Bitparse,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Bitparse provides a document parsing API that uses AI-powered optical character recognition (OCR) to extract structured content from uploaded documents. The Service accepts PDF, PNG, and JPEG files and returns extracted text, tables, figures, and other elements in structured format.
2. Account Registration and Authentication
2.1. You must create an account through our authentication provider (Clerk) to use the Service.
2.2. You may also generate API keys to access the Service programmatically. You are solely responsible for maintaining the confidentiality of your API keys and account credentials.
2.3. You must immediately notify us if you become aware of any unauthorized use of your account or API keys. You may revoke compromised API keys at any time through the API.
2.4. You are responsible for all activity that occurs under your account or API keys, whether or not authorized by you.
3. Credits and Payments
3.1. Credit-Based Pricing. The Service operates on a credit-based model. Document processing costs 1 credit per page.
3.2. Purchasing Credits. Credits are available for purchase through the following tiers:
- Starter: $4.99 USD for 500 credits
- Pro: $19.99 USD for 2,500 credits
We reserve the right to modify pricing tiers at any time with reasonable notice.
3.3. Payment Processing. All payments are processed by Stripe, Inc. By purchasing credits, you agree to Stripe's terms of service. We do not store your payment card information.
3.4. Credit Deduction. Credits are deducted atomically before document processing begins. If processing fails in whole or in part, credits for unprocessed pages will be automatically refunded to your account.
3.5. No Refunds. Except for automatic refunds for failed processing as described above, all credit purchases are final and non-refundable. Credits have no cash value and cannot be transferred to another account.
3.6. Insufficient Credits. If your credit balance is insufficient to process a document, the request will be rejected. You will not be charged partial credits.
3.7. Credit Expiration. Purchased credits do not expire. Credits remain in your account indefinitely until used or until account termination.
4. Acceptable Use
4.1. You agree not to use the Service to:
- Upload documents containing illegal content
- Upload documents you do not have the right to process
- Attempt to circumvent rate limits, credit requirements, or other technical restrictions
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Use the Service in a manner that could damage, disable, or impair the Service
- Resell access to the Service without our prior written consent
- Use automated means to create accounts or generate API keys in bulk
4.2. Rate Limits. The Service enforces rate limits on a per-user and global basis. Exceeding these limits will result in HTTP 429 responses. Persistent abuse of rate limits may result in account suspension. Rate limits are subject to change at any time.
4.3. File Limits. Uploaded files must not exceed 10 MB in size. PDF documents must not exceed 2,000 pages.
5. Document Processing
5.1. Processing. Uploaded documents are processed using AI models to perform OCR and content extraction. We may use third-party service providers to operate the Service, and by using the Service you consent to this.
5.2. No Guarantees of Accuracy. OCR output is generated by AI models and may contain errors, omissions, or inaccuracies. You are solely responsible for verifying the accuracy of extracted content. The Service is not a substitute for professional document review.
5.3. Document Retention. We do not permanently store your uploaded documents. Documents are processed in memory and are not written to persistent storage on our servers.
6. API Keys
6.1. API keys are prefixed with bp_ and the full key is displayed only once at creation. You are responsible for storing it securely.
6.2. API keys are hashed before storage. We cannot recover lost keys; you must generate a new one.
6.3. You may revoke API keys at any time. Revoked keys cannot be reactivated.
7. Service Availability and Performance
7.1. No Service Level Agreement. Bitparse does not offer a Service Level Agreement (SLA). We do not guarantee any specific level of uptime, availability, response time, or throughput. The Service is provided on a commercially reasonable efforts basis.
7.2. Variable Processing Times. Document processing times vary based on file size, page count, server load, and third-party provider performance. Processing may take from seconds to up to 25 minutes for large documents. Initial requests may experience additional latency due to server initialization.
7.3. Third-Party Dependencies. The Service relies on third-party infrastructure and AI model providers to function. We are not responsible for outages, degraded performance, or errors caused by the unavailability or malfunction of these third-party services.
7.4. Maintenance and Downtime. We reserve the right to suspend access to the Service at any time for maintenance, updates, security patches, or infrastructure changes, with or without advance notice. We will make reasonable efforts to minimize disruption but do not guarantee advance notification of downtime.
7.5. We may modify, suspend, or discontinue any part of the Service at any time.
8. Intellectual Property
8.1. You retain all rights to the documents you upload and the content extracted from them.
8.2. We retain all rights to the Service, including its software, APIs, documentation, and branding.
8.3. These Terms do not grant either party any rights to the other party's intellectual property except as expressly stated herein.
9. Limitation of Liability
9.1. To the maximum extent permitted by law, Bitparse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
9.2. Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9.3. We are not liable for errors or inaccuracies in OCR output, interruptions in service, or actions of third-party providers.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Indemnification
You agree to indemnify and hold harmless Bitparse and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
12.1. You may stop using the Service at any time. Unused credits will not be refunded upon account closure.
12.2. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.
12.3. Upon termination, your right to use the Service ceases immediately. Sections 8 through 13 survive termination.
13. General Provisions
13.1. Governing Law. These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.
13.2. Dispute Resolution. Any disputes arising from these Terms shall be resolved through binding arbitration in the State of Delaware.
13.3. Severability. If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
13.4. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bitparse regarding the Service.
13.5. Amendments. We may update these Terms at any time by posting the revised version. Continued use of the Service after changes constitutes acceptance of the updated Terms.
